Terms & Conditions for Website Development

1. Scope of Services

1.1 The Service Provider shall design, develop, and deliver a custom-built website for the Client, based on the Client’s specific requirements and specifications.
1.2 The website may include, but is not limited to, presentation websites, e-commerce websites, booking systems, and client portals.

2. Project Timeline

2.1 The Service Provider will commence work on the project upon receipt of all necessary materials from the Client, including but not limited to images, videos, and text content.
2.2 The estimated delivery time for the completed website is 14 business days from the date of receipt of all required materials.
2.3 The Service Provider shall make reasonable efforts to adhere to the estimated delivery timeline, however, unforeseen circumstances may cause delays beyond the Service Provider’s control.

3. Client Responsibilities

3.1 The Client shall provide all necessary materials for the website, including but not limited to images, videos, and text content, in a timely manner.
3.2 The Client shall review and approve the website design and content before the website is launched.
3.3 The Client shall be responsible for any additional costs incurred due to delays or changes in the project scope caused by the Client.

4. Payment Terms

4.1 The Client shall pay the Service Provider a deposit of 50% of the total project cost upon signing of this agreement.
4.2 The remaining balance shall be due upon completion of the project and delivery of the website.
4.3 The Client shall be responsible for any applicable taxes or fees.

5. Intellectual Property

5.1 Upon full payment, the Client shall own all intellectual property rights in the completed website.
5.2 The Service Provider retains the right to use the website as a reference in its portfolio.

6. Limitation of Liability

6.1 The Service Provider shall not be liable for any indirect, incidental, or consequential damages arising out of the use of the website or the Service Provider’s failure to perform its obligations under this agreement.
6.2 The Service Provider shall not be liable for any damages caused by acts beyond its reasonable control, such as natural disasters, acts of war, or government regulations.

7. Governing Law and Jurisdiction

7.1 This agreement shall be governed by and construed in accordance with the laws of The United Kingdom.
7.2
Any dispute arising out of or in connection with this agreement shall be submitted to the exclusive jurisdiction of the courts of Birmingham, UK.

8. Amendments

8.1 Any amendments to this agreement must be made in writing and signed by both parties.
